Description

Thomson Reuters’ ACP Insolvency Precedents service provides a range of precedents for use in contexts of both Receivership and Voluntary Administration, and extending from precedents for deeds through to notices and minutes.

The service is one of the individually available online Australian Commercial Precedents modules. These focus on key areas of commercial law, and offer precedents to help create initial drafts for simple through to highly complex transactions in a single sitting. Each module is easy-to-use, versatile and written in plain English and, with the downloadable Microsoft Word® documents, practitioners can draft client-friendly, professional agreements efficiently. Insolvency advisers need to prepare a wide range of documents, often engaging with detailed procedural requirements affecting their drafting.

You can find out more about the other modules available in the series, including upcoming modules for 2011, by visiting our Australian Commercial Precedents page.

Those benefitting from the module include:

  • Solicitors
  • Insolvency experts
  • Corporate counsel and insolvency professionals in banks and financial institutions.

Content of module:

The module provides precedents for the wide range of documents generated in both receivership and voluntary administration situations, and includes deeds, letters, notices and minutes. Rather than focusing on forms prescribed by ASIC, the content focuses on precedents of use to lawyers. Indicating coverage, for Receivership the range of precedents with optional clauses and drafting notes addresses the following contexts:
  • Receiver and Manager
  • Secured Creditor as controller (mortgagee in possession)
  • Agent for secured creditor as controller (mortgagee in possession)
  • Receiver of income under real property mortgage.
Optional clauses and drafting notes provide expert guidance, stepping users through the precedent clause-by-clause, and identifying the circumstances in which each clause should be used. Each downloadable Microsoft Word® template automatically formats itself during drafting.
